Addendum to Wholesail Terms of Service Agreement
As set forth below, the parties agree to the following, which includes adding Wholesail’s Credit Application Product onboarding product to the Wholesail Terms, pursuant to which the parties are currently doing business, and adding such product as more fully set forth below. For the avoidance of doubt, all Definitions set forth in the Wholesail Terms apply to this Addendum as if fully set forth herein. In the event of a conflict between this Addendum and the Wholesail Terms, the Wholesail Terms will control except to the extent the conflict relates specifically and directly to the use of the Credit Application (as defined below), in which case this Addendum will control.
PLEASE READ THE TERMS OF THIS ADDENDUM CAREFULLY.
WHEREAS, Wholesail, Inc. (“Wholesail”) has developed a product that facilitates the onboarding of Seller’s new Buyer customers (the “Credit Application” or “CA”) and has made the Credit Application available to Seller through the Wholesail Services;
WHEREAS, in order to use the Credit Application, Seller must agree to the terms and conditions specified herein;
NOW THEREFORE, Seller and Wholesail, for good and mutual consideration as evidenced by Seller’s selection of the Credit Application on the Order Form, agree as follows:
1. New Buyer Onboarding For Sellers
Using the CA, Seller can customize an online customer application for its prospective Buyers to complete. Seller can then evaluate such prospective Buyer and accept or reject them. If and when approved, Seller is able to automatically sync such Buyer back to Seller’s system of record, or keep the application within the Wholesail Services if it so chooses. Seller’s use of the CA is subject to any additional terms and conditions presented to Seller within the CA experience.
2. Disclaimers
Without limiting anything set forth in the Wholesail Terms, by agreeing to this Addendum, Seller acknowledges and agrees that it is solely responsible for determining the eligibility of any prospective Buyer when using the CA. Wholesail is not a party to any such prospective relationship and merely provides tools and technology through the Wholesail Services to streamline Seller’s and any prospective Buyer’s experience. Seller’s actual contractual relationship with any Buyer is subject to Seller’s own terms of service and privacy policy made available to each Buyer at the time of potential onboarding. Content is provided by Wholesail within the CA for convenience only, and Seller is responsible for any content ultimately presented to any Buyer within the online customer application process.
